Referral Partner Agreement

 

This Referral Partner Agreement (“Agreement”) is entered into by and between:

 

BetterNest Real Estate Group, LLC, doing business as BetterNest Realty, (“BetterNest”), and __________________________________ (“Referral Partner” or “Agent”), a licensed real estate professional.

 

This Agreement governs all referrals provided by BetterNest to Agent.

 

1. Purpose

BetterNest operates a marketplace that connects property owners with licensed real estate agents. Agent desires to receive seller referrals from BetterNest and agrees to pay a referral fee for any transaction that results from a BetterNest-originated lead.

 

2. Definition of a Referral

A “Referral” is any property owner, buyer, or transaction that:

 

• Is introduced, submitted, or connected to Agent by BetterNest through any method including but not limited to: website, email, CRM, portal, form submission, text message, phone call, or written notice; or

• Was previously in contact with BetterNest before contacting Agent; or

• Was provided Agent’s information through BetterNest’s systems.

 

Once a client is identified as a BetterNest Referral, all transactions involving that client and the subject property are covered by this Agreement.

 

3. Referral Fee

​

Agent agrees to pay BetterNest a referral fee equal to 25% of the gross commission earned by Agent in any transaction resulting from a BetterNest Referral.

 

The referral fee is earned upon closing and is due regardless of whether Agent represents the buyer, seller, or both.

 

4. Term and Protection Period

​

This Agreement remains in effect until terminated by either party with written notice.

 

Any BetterNest Referral remains protected for 24 months from the date the client is first introduced to Agent.

 

Termination does not remove BetterNest’s right to referral fees on protected clients.

 

5. Payment

​

Agent agrees to authorize the closing agent or brokerage to pay BetterNest’s referral fee directly from the commission at closing whenever possible.

 

If direct payment is not made at closing, Agent must remit payment to BetterNest within 5 business days of receiving commission.

 

6. No Circumvention

​

Agent agrees not to:

 

• Bypass BetterNest

• Instruct clients to avoid identifying BetterNest as the referral source

• Route transactions through another agent, brokerage, or entity to avoid referral payment

​

Any attempt to do so is a material breach of this Agreement.

​

7. Independent Contractor Relationship

​

Agent is an independent contractor. This Agreement does not create any employment, partnership, or brokerage relationship between Agent and BetterNest.

 

BetterNest does not supervise or control Agent’s real estate activities.

 

8. Confidentiality

​

Agent agrees not to use BetterNest client information for any purpose outside of completing the referred transaction.

 

9. Compliance

​

Agent represents that they are properly licensed and authorized to perform real estate services in their jurisdiction.

​

Agent is responsible for compliance with all state and federal laws.

 

10. Governing Law

​

This Agreement shall be governed by the laws of the State of Florida.

 

11. Public Profile & Pricing Disclosure

​

Agent agrees to maintain a profile within the BetterNest Nest Agent Network that includes a biography, service area, and the compensation terms Agent offers to BetterNest-referred clients.

​

Agent acknowledges that the Nest Agent Network is a private marketplace in which agents compete to earn client relationships and that displaying pricing and service packages is a condition of participation.

​

BetterNest does not set, control, or influence Agent’s pricing. Agent remains solely responsible for the compensation and terms offered to clients.

 

Pricing displayed in the Nest Agent Network is only shown to BetterNest members and is not advertised to the general public. Agent pricing in the Nest Agent Network applies only to BetterNest-referred clients and does not obligate Agent to offer the same terms to the general public.

Agent agrees to keep profile information accurate and current.

12. Referral Confirmation Requirement

​

Agent agrees that for every transaction involving a BetterNest Referral, Agent shall promptly execute a BetterNest Referral Confirmation Form or similar written acknowledgment identifying the client, property, and closing company.

​

Agent further agrees to cooperate with BetterNest in providing any documentation reasonably required to ensure the referral fee is properly disbursed at closing.

​

Failure to execute or cooperate with referral confirmation shall not eliminate Agent’s obligation to pay the referral fee.

​

13. Entire Agreement

​

This Agreement represents the entire understanding between the parties regarding referrals and supersedes all prior discussions.
